Job Description


Purpose of the job

The legal and corporate affairs head is responsible for developing and leading corporate legal strategy to promote and protect the company’s interests. The legal head is also responsible for providing accurate and timely counsel to the company in a variety of legal topics (labor law, partnership, corporate, etc.) and for promoting, implementing, and maintaining an organizational culture that encourages ethical business conduct and compliance with the law, the legal and regulatory requirements of the country and the Group’s code of conduct.

Main duties & responsibilities

  • Advising the Board of Directors and other members of the executive management of the impact on the activities and proposed activities of the company of proposed local, state, and federal laws and regulations and judicial and administrative decisions.
  • Assessing the merits of major court cases filed against the company and approves, with the advice of the appropriate function head, settlement of such court where warranted.
  • Providing accurate and timely counsel to the company in a variety of legal topics (commercial law, mergers, and acquisitions, corporate, etc.)
  • Providing legal consulting in policy development and training about prevention.
  • Developing and leading corporate legal strategy to promote and protect the company’s interest
  • Overseeing the delivery of legal service and resources to accomplish corporate goals strategies and priorities.
  • Participating in the formulation of general management policy as a member of the executive management team.
  • Managing other members of the legal section.
  • Overseeing the development or implementation of compliance-related policies and procedures throughout the company.
  • Overseeing the performance of the retention lawyers and related legal proceedings.
  • Representing the company in pursuing any legal proceeding.
  • Ensuring that the legal affairs of the firm are securely maintained for the required time period
  • Maintaining current knowledge of alteration in legislation
  • Ensuring that the company carries its commercial activities in full compliance with all national and international laws, regulations, and directives as well as internal (Group) policies, Codes, and guidelines.
  • Developing and supervision control system with a view to prevent or address a violation of laws, regulations, and guidelines.
  • Overseeing the periodic review of contracts, policies, and other legal documents of the company to ensure compliance with regulatory and group standards.
  • Overseeing the periodic review of national, regional, and international laws, procedures, and guides as well as reports with an eye to the hidden risk of non-compliance
  • Directing the communication of compliance-related issues with employees across all divisions of the organization and address all concerns they may have about legal, ethical, or compliance matters.
  •  Defining and developing the approach for the mandatory compliance training in collaboration with the training teams.
  • Overseeing the preparation publication and distribution of authorized commercial partners to achieve clarity o commercial compliance requirements.

Job Requirements

  • Broad and thorough knowledge of the compliance and ethics profession, theories, and standards.
  • Expert knowledge of professional compliance and investigation standards; and ability to apply policy and legal concepts to issues.
  • Commitment to the highest ethical and professional standards.
  • Excellent written and oral communication skills.
  • Ability to communicate complex information to all levels of management and administration in a clear and concise manner both written and verbal.
  •  Ability to work independently and within a team environment.
  • Ability to share information and build consensus across stakeholders.
  • Ability to supervise support and professional analyses functions for compliance and ethics programs.
  • Ability to establish trust and credibility with stakeholders and senior management.
  • Knowledge of the Group’s ethics and compliance policies, procedures, and programs.

Expected Education and Experience

  • BA Degree in law or related fields.
  • 12 years of experience of which at least 5 years in a managerial post in the areas of corporate law
