Job Summary

As a Corporate Counsel specializing in Contract Management and Litigation, you will play a crucial role in ensuring legal compliance, managing contractual relationships, and representing the company in litigation matters. Reporting to Head of Legal & M & A, you will provide strategic legal advice, negotiate contracts, and handle litigation matters to protect the company’s interests and mitigate legal risks.

DUTIES AND RESPONSIBILITIES

1. Contract Management:

  • Draft, review, and negotiate a wide range of contracts, including vendor agreements, customer contracts, licensing agreements, and non-disclosure agreements (NDAs).
  • Ensure contracts comply with company policies, regulatory requirements, and applicable laws.
  • Develop and maintain contract templates, standard clauses, and contract management processes to streamline contract review and approval.

2. Contract Compliance and Enforcement:

  • Monitor contract performance and compliance with contractual obligations.
  • Address contractual disputes and breaches, and negotiate resolutions with counterparties.
  • Work closely with internal stakeholders to ensure effective contract administration and enforcement.

3. Litigation Management:

  • Manage and oversee litigation matters involving the company, including commercial disputes, employment-related claims, regulatory proceedings and criminal cases.
  • Develop litigation strategies, and represent the company in court proceedings and alternative dispute resolution forums.
  • Provide legal advice and risk assessments to inform business decisions and mitigate litigation exposure.

4. Risk Assessment and Mitigation:

  • Conduct legal research and analysis to assess legal risks associated with business operations, contracts, and regulatory compliance.
  • Provide proactive legal advice and recommendations to mitigate risks and support strategic objectives.
  • Collaborate with cross-functional teams to implement risk management strategies and controls.

5. Compliance and Regulatory Affairs:

  • Stay informed about relevant laws, regulations, and industry trends affecting the company’s business operations.
  • Advise management on legal and regulatory compliance requirements, including data privacy, consumer protection, and anti-corruption laws.
  • Develop and implement compliance programs, policies, and training initiatives to promote ethical conduct and compliance culture.

6. Relationship Management:

  • Build and maintain effective relationships with internal stakeholders, external counsel, regulatory agencies, and business partners.
  • Serve as a trusted legal advisor to business units and senior management, providing timely and practical legal guidance.

7. Government Relations

  • Develop and maintain relationships with government agencies, departments, and officials at local, regional, and national levels.
  • Act as a liaison between the company and government bodies, ensuring compliance with regulations, laws, and policies.
  • Coordinate meetings, discussions, and consultations with government representatives to address company-related matters.

QUALIFICATIONS REQUIRED : LLB Degree in Law from an accredited law school.

Experience: 8+ years of experience in a similar role, in a multinational company, with experience in FMCG
